1. Agreement to Terms1.1 These Terms and Conditions ("Agreement") govern the provision of business consultation services ("Services") by Razmatics UK Limited ("Razmatics," "we," "our," or "us") to clients ("Client," "you," or "your"). By engaging our Services, you agree to comply with and be bound by these Terms and Conditions.2. Services2.1 Razmatics provides consultation and outsourcing for back-office and marketing roles and projects. The specific scope of Services, timelines, and deliverables will be outlined in the mutually agreed-upon project proposal.3. Engagement3.1 The engagement process begins with a detailed consultation to assess your business needs and goals. Following the consultation, we will provide you with a customized proposal outlining the scope, objectives, deliverables, timelines, and associated costs for the project.4. Confidentiality4.1 Both parties acknowledge and agree to maintain the confidentiality of all proprietary and sensitive information shared during the engagement. This includes, but is not limited to, business strategies, financial data, trade secrets, and any other information marked as confidential.5. Fees and Payment5.1 The fees for our Services will be outlined in the project proposal. Payment terms, methods, and schedules will also be specified in the proposal.5.2 All fees quoted are exclusive of any applicable taxes, which will be added to the invoice at the appropriate rate on the invoice.6. Intellectual Property6.1 Any intellectual property developed during the course of providing the Services shall be owned by the respective party as defined in the project proposal. Any pre-existing intellectual property shall remain the property of the respective owner.7. Termination7.1 Either party may terminate this Agreement by providing written notice to the other party if there is a material breach of these Terms and Conditions by the other party.7.2 In the event of termination, you shall compensate Razmatics for all Services performed up to the termination date, as outlined in the project proposal.8. Limitation of Liability8.1 To the fullest extent permitted by law, Razmatics UK Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Services, even if advised of the possibility of such damages.9. Governing Law and Jurisdiction9.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.10. Entire Agreement10.1 These Terms and Conditions constitute the entire agreement between the parties and supersede all prior and contemporaneous agreements, proposals, understandings, or communications, whether oral or written.11. Amendments11.1 Any amendments or modifications to this Agreement must be made in writing and signed by both parties.12.
